End User License Agreement

This End User License Agreement (“EULA”) is a legal agreement between you and Bitruvius, Inc. (“Bitruvius”) and governs your use of the Software defined below.

In short: the Software is proprietary and is licensed, not sold. The JavaScript SDK for MapLibre GL JS is free to use under Section 4. All other use requires a license from Bitruvius. You may not reverse engineer the Software, tamper with it, or circumvent, crack, or share its license keys. This summary is for convenience only; the sections below control.

1. Definitions

  • “Software” means all software Bitruvius makes available, in any form and by any means, including all Bitruvius codecs (such as RIPT, BVC, and the Turbo codec family), Bitruvius Spatial Engine, SDKs, libraries (including dynamic and static libraries such as .dll, .so, .dylib, .lib, and .a files), executables (including .exe files), command-line tools, WebAssembly and JavaScript modules, License Keys, documentation, and all updates, upgrades, patches, and pre-release versions of any of them.
  • “License Key” means any license file, license key, activation code, token, certificate, or other credential that Bitruvius issues to enable or control use of the Software.
  • “Protection Measures” means License Keys and every technical measure that controls access to or use of the Software, including license and activation checks, entitlement and expiry checks, machine or seat binding, code signing, integrity checks, encryption, and obfuscation.
  • “Order” means a quote, order form, invoice, or other written agreement between you and Bitruvius that identifies the Software you are licensed to use, the fees, and the Licensed Scope.
  • “Licensed Scope” means the products, term, number of seats, users, machines, processor cores, deployments, environments, and any other limits stated in your Order or License Key.
  • “You” means the individual accepting this EULA and, if that individual accepts on behalf of a company or other organization, that organization.

2. Acceptance

By downloading, installing, accessing, or using the Software, or by clicking to accept this EULA, you agree to be bound by it. If you accept on behalf of an organization, you represent that you have authority to bind it. If you do not agree, do not download, install, access, or use the Software. If you have a separate written license agreement with Bitruvius signed by both parties, that agreement controls where it conflicts with this EULA; otherwise, an Order controls only as to the products, fees, and Licensed Scope it states, and this EULA controls in all other respects.

3. Ownership

The Software is licensed, not sold. Bitruvius and its licensors own all right, title, and interest in and to the Software, including all copyrights, patents (issued and pending), trade secrets, trademarks, and other intellectual-property rights. The Software, including its object code, structure, sequence, organization, algorithms, and non-public bitstream and wire formats, contains valuable trade secrets and confidential information of Bitruvius. All rights not expressly granted in this EULA are reserved. No license is granted by implication, estoppel, or otherwise.

4. Free SDK License

Subject to this EULA, Bitruvius grants you a worldwide, royalty-free, non-exclusive, non-transferable, revocable license to use the Bitruvius SDK for MapLibre GL JS, and any other JavaScript SDK that Bitruvius expressly designates in writing as free (each a “Free SDK”), solely:

  • in the unmodified form Bitruvius distributes it, whether loaded from a Bitruvius content delivery network or hosted by you alongside your application;
  • within your own web applications, through the Free SDK’s documented public interfaces; and
  • to make those applications available to your end users, who may use the Free SDK only as part of your application.

You may not extract, isolate, or call any component of a Free SDK (including any WebAssembly module) independently of the Free SDK, or redistribute or rehost a Free SDK as a standalone library, package, or service. Bitruvius may modify, suspend, or discontinue any Free SDK, or end its free status for future versions, at any time.

5. Commercial and Evaluation Licenses

All Software other than a Free SDK, and any use of a Free SDK beyond Section 4, requires a license from Bitruvius under an Order. Subject to this EULA, your payment of applicable fees, and your Order, Bitruvius grants you a limited, non-exclusive, non-transferable, non-sublicensable license, during the term stated in your Order, to install and use the Software in object-code form only, within the Licensed Scope, for your internal business purposes. You may distribute runtime components of the Software as part of your own product only if your Order expressly permits it, and then only under terms at least as protective of Bitruvius as this EULA.

Evaluation, trial, beta, and Limited Private Beta access is granted solely for internal, non-production evaluation for the period Bitruvius specifies, may stop working automatically at the end of that period, and is provided without any warranty, support, or indemnity.

6. License Keys and Protection Measures

License Keys are Bitruvius confidential information. They are issued to you alone, for use only within the Licensed Scope. You may not, and may not permit or assist anyone else to:

  • share, publish, sell, transfer, or disclose a License Key, or use one issued to anyone else or obtained from any source other than Bitruvius;
  • circumvent, bypass, disable, defeat, remove, modify, emulate, or otherwise interfere with any Protection Measure;
  • create, alter, forge, or generate any License Key, or create, use, or distribute any crack, key generator, patch, loader, license-server emulator, or other tool or method designed to circumvent a Protection Measure;
  • use the Software beyond the Licensed Scope or after a License Key expires, including by altering system clocks, cloning or snapshotting machines or virtual machines, or spoofing hardware or machine identifiers; or
  • conceal or misrepresent your use of the Software or the number of machines, seats, or cores on which it runs.

You acknowledge that the Protection Measures are technological measures that effectively control access to, and protect the rights of the copyright owner in, the Software within the meaning of 17 U.S.C. § 1201 and equivalent laws in other jurisdictions. The Software may verify your License Key and Licensed Scope, which may involve transmitting license and installation information to Bitruvius as described in our Privacy Policy, and may stop operating if verification fails or a License Key expires or is revoked.

7. Restrictions

Except as expressly permitted in Sections 4 and 5, you may not, and may not permit or assist anyone else to:

  • reverse engineer, decompile, disassemble, decrypt, or otherwise attempt to derive the source code, algorithms, methods, non-public bitstream or wire formats, or trade secrets of the Software, by any means, including debuggers, disassemblers, binary instrumentation, memory inspection, or automated or AI-assisted analysis;
  • analyze the Software, or data it encodes or decodes, for the purpose of reproducing its proprietary methods or building any encoder, decoder, or other software compatible with a non-public Bitruvius bitstream or wire format;
  • modify, patch, hook, inject code into, adapt, translate, or create derivative works of the Software;
  • separate the Software’s components for use independently of the product with which they were provided, or use any component outside the Licensed Scope;
  • copy the Software, except as necessary to use it within the Licensed Scope and for one reasonable backup copy;
  • rent, lease, lend, sell, sublicense, distribute, or otherwise make the Software available to any third party, or use it to provide a hosted, time-sharing, service-bureau, or software-as-a-service offering to third parties, except as your Order expressly permits;
  • remove, alter, or obscure any proprietary, copyright, patent, or attribution notice;
  • use the Software, or any knowledge gained from it, to develop or assist in developing a competing product;
  • publish or disclose the results of any benchmark or performance test of evaluation, beta, or other pre-release Software without Bitruvius’s prior written consent; or
  • use the Software in violation of any applicable law, including export-control and sanctions laws.

The reverse-engineering restriction applies except, and only to the extent, that applicable law expressly permits such activity notwithstanding this limitation. Before relying on any such law, you must first request from Bitruvius in writing the information needed for interoperability, and you may use any information obtained only for the purpose that law permits.

8. Third-Party and Open-Source Components

The Software may include third-party or open-source components that are licensed under their own terms, identified in the notices supplied with the Software and on our Legal page. Those terms govern those components, and nothing in this EULA limits any right you have under them. The restrictions in this EULA apply to all other parts of the Software.

9. Confidentiality

License Keys, non-public Software and documentation, pre-release Software, and the terms and pricing of your Order are Bitruvius confidential information. You will use them only as this EULA permits, protect them with at least reasonable care, and not disclose them to anyone other than your employees and contractors who need to know them and are bound by confidentiality obligations at least as protective as these.

10. Verification and Audit

On reasonable notice, and no more than once in any twelve-month period unless a prior review found non-compliance, you will certify in writing your use of the Software and provide records reasonably sufficient to verify that use was within the Licensed Scope. Bitruvius or an independent auditor bound by confidentiality may review those records during normal business hours. If use exceeded the Licensed Scope, you will promptly pay Bitruvius’s then-current list fees for the excess use, and if the excess exceeds five percent, you will also reimburse the reasonable cost of the review.

11. Updates and Feedback

Bitruvius may provide updates to the Software, which are governed by this EULA unless accompanied by other terms, and may require you to install an update to keep using the Software. If you give Bitruvius suggestions or other feedback, Bitruvius may use it without restriction or obligation to you.

12. Term and Termination

This EULA remains in effect until terminated. Each license under an Order lasts for the term stated in the Order. Your licenses terminate automatically and immediately, without notice, if you breach Section 6 or Section 7. Bitruvius may also terminate this EULA or any license if you materially breach this EULA and fail to cure the breach within thirty days after notice. On termination or expiry, you must immediately stop using the Software, delete all copies and License Keys in your possession or control, and on request certify in writing that you have done so; Bitruvius may revoke or deactivate any License Key. Sections 3, 6, 7, and 9 through 18, and any unpaid fees, survive termination.

13. Remedies

You acknowledge that any breach of Section 3, 6, 7, or 9 would cause Bitruvius irreparable harm for which money damages would be an inadequate remedy. Bitruvius is therefore entitled to injunctive and other equitable relief, in any court of competent jurisdiction and without posting a bond or proving actual damages to the extent permitted by law, in addition to all other remedies available to it, including damages and statutory damages under 17 U.S.C. § 1203. Any use of the Software without a valid license or beyond the Licensed Scope is both a breach of this EULA and an infringement of Bitruvius’s intellectual-property rights. You will pay Bitruvius’s reasonable attorneys’ fees and costs incurred in enforcing Sections 6 and 7 against you.

14. Disclaimer of Warranties

Except as expressly stated in an Order, the Software is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Bitruvius does not warrant that the Software will be uninterrupted, error-free, or free of harmful components, or that encoded or decoded data will meet your requirements.

15. Limitation of Liability

To the fullest extent permitted by law, Bitruvius will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or business, arising out of or related to this EULA or the Software, even if advised of their possibility. Bitruvius’s total liability arising out of or related to this EULA or the Software will not exceed the fees you paid Bitruvius for the Software in the twelve months before the event giving rise to the claim, or one hundred U.S. dollars if you paid none.

16. Export Control and Government Use

The Software is subject to U.S. export-control and sanctions laws. You will not export, re-export, transfer, or provide access to the Software in violation of those laws, including to any embargoed country or region, to any person on a U.S. government restricted-party list, or for any prohibited end use. The Software is “commercial computer software” and its documentation is “commercial computer software documentation”; U.S. government end users acquire them only with the rights set out in this EULA, under FAR 12.212 and DFARS 227.7202, as applicable.

17. Governing Law

This EULA is governed by and construed in accordance with the laws of the State of Georgia and the applicable federal law of the United States, without regard to conflict-of-law provisions, and excluding the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act. The exclusive venue for any dispute is the state or federal courts located in Cobb County, Georgia, and each party consents to personal jurisdiction and venue there, except that Bitruvius may seek injunctive or other equitable relief to protect its intellectual-property or confidential information in any court of competent jurisdiction.

18. General

You may not assign or transfer this EULA or any license, by operation of law or otherwise, without Bitruvius’s prior written consent; any attempt to do so is void. If any provision is held unenforceable, it will be enforced to the maximum extent permissible and the rest of this EULA will remain in effect. No failure or delay in enforcing any right is a waiver of it. This EULA, together with any Order, is the entire agreement between you and Bitruvius about the Software and supersedes any prior or contrary terms, including any terms in your purchase order. Bitruvius may update this EULA by posting a new version on this page; the updated EULA applies to Software downloaded, updated, or licensed after it is posted, and does not change the terms of an Order already in effect.
